利用規約 Terms of Service

1. 適用 1. Application

本規約は、本サービスの利用に関する運営者とユーザーとの間の一切の関係に適用されます。 These Terms apply to all matters between the Operator and the user concerning use of the Service.

運営者が本サービス上で別途定めるルール、ガイドライン、ヘルプ、注意事項等は、本規約の一部を構成するものとします。 Any additional rules, guidelines, help notes, or notices the Operator publishes within the Service form part of these Terms.

2. 本サービスの内容 2. Description of the Service

本サービスは、ユーザーが AI クライアント、MCP 対応ツール、ワークスペースサービス、その他外部サービスと連携しながら、会話、メモ、タスク、予定、記録、その他の情報を保存・整理・参照するためのサービスです。 The Service lets users save, organize, and refer to conversations, notes, tasks, events, records, and other information in conjunction with AI clients, MCP-compatible tools, workspace services, and other external services.

本サービスは、AI そのものを提供するものではなく、ユーザーが利用する AI や外部ツールから接続されるデータ保存・参照のための環境を提供します。 The Service does not provide the AI itself; it provides an environment for data storage and retrieval accessed by the AIs and external tools that the user uses.

3. アカウント登録 3. Account registration

ユーザーは、本サービスの利用にあたり、運営者が定める方法によりアカウント登録を行うものとします。 Users must register an account using the methods specified by the Operator in order to use the Service.

ユーザーは、登録情報が正確かつ最新であるよう管理する責任を負います。登録情報に誤りまたは変更があった場合、ユーザーは速やかに必要な修正を行うものとします。 Users are responsible for keeping their registration information accurate and current, and must promptly update any errors or changes.

4. 認証情報の管理 4. Authentication credentials

ユーザーは、本サービスのログインに利用する認証情報、パスキー、端末その他のアクセス手段を自己の責任で管理するものとします。 Users are responsible for managing their own login credentials, passkeys, devices, and other access means.

ユーザーの認証情報を用いて行われた本サービス上の行為は、当該ユーザー本人による行為とみなされる場合があります。ただし、運営者に故意または重大な過失がある場合を除きます。 Actions performed using a user's credentials may be deemed actions of that user, except where the Operator is at fault through intent or gross negligence.

5. ユーザーデータ 5. User data

ユーザーが本サービスに保存したデータ（以下「ユーザーデータ」といいます）に関する権利は、ユーザーまたは正当な権利者に留保されます。 Rights to data saved by users in the Service ("User Data") remain with the user or rightful holder.

運営者は、ユーザーデータを、本サービスの提供、維持、保護、改善、問い合わせ対応、不正利用防止、法令遵守のために必要な範囲で利用します。 The Operator uses User Data only as necessary to provide, maintain, protect, and improve the Service, respond to inquiries, prevent abuse, and comply with law.

運営者は、ユーザーの指示または許可なく、ユーザーデータを外部 AI サービスへ送信しません。 The Operator does not transmit User Data to external AI services without the user's instruction or permission.

6. 外部サービスとの関係 6. Relationship to external services

ユーザーは、本サービスを、AI クライアント、MCP 対応ツール、決済サービス、ワークスペースサービス、その他の外部サービスと組み合わせて利用することがあります。 Users may use the Service in combination with AI clients, MCP-compatible tools, payment services, workspace services, and other external services.

外部サービスの利用については、当該外部サービスの利用規約、プライバシーポリシー、その他の条件が適用されます。運営者は、外部サービスの内容、提供状況、仕様変更、停止、データ取扱い等について責任を負いません。ただし、法令上運営者が責任を負うべき場合を除きます。 Use of external services is governed by the terms, privacy policies, and other conditions of those services. The Operator is not responsible for the content, availability, specification changes, suspension, or data handling of external services, except where required by law.

7. 有料プラン 7. Paid plans

本サービスには、無料プランおよび有料プランが提供される場合があります。 The Service may offer free and paid plans.

有料プランの料金、支払方法、更新条件、解約方法、提供内容は、本サービス上または別途料金ページに表示します。 Fees, payment methods, renewal terms, cancellation procedures, and content for paid plans are displayed in the Service or on a separate pricing page.

ユーザーは、有料プランを利用する場合、表示された料金および条件に同意したうえで申し込むものとします。 Users applying for a paid plan must do so having agreed to the displayed fees and conditions.

決済処理は、外部決済事業者を通じて行われる場合があります。この場合、決済情報の取扱いには当該決済事業者の規約およびプライバシーポリシーが適用されます。 Payment processing may be performed via external payment providers, in which case those providers' terms and privacy policies apply to the handling of payment information.

8. 解約・アカウント削除 8. Cancellation and account deletion

ユーザーは、運営者が定める方法により、有料プランの解約またはアカウント削除を行うことができます。 Users may cancel a paid plan or delete their account using the methods specified by the Operator.

アカウント削除後、運営者は合理的な期間内にユーザーデータを削除または利用不能化します。ただし、法令、会計、セキュリティ、不正利用対策、障害対応等のために必要な範囲で、ログやバックアップを一定期間保持する場合があります。 After account deletion, the Operator removes or renders User Data unusable within a reasonable period. Logs and backups may nonetheless be retained for a period as needed for legal, accounting, security, abuse-prevention, and incident-response purposes.

アカウント削除方法の詳細は、（準備中）とします。 Details of the account deletion process are (TBD).

9. 禁止事項 9. Prohibited conduct

ユーザーは、本サービスの利用にあたり、以下の行為をしてはなりません。 Users must not engage in the following when using the Service.

• 法令または公序良俗に違反する行為 Acts that violate laws, regulations, or public order and morals
• 犯罪行為または犯罪行為に関連する行為 Criminal acts or acts related to criminal activity
• 運営者、他のユーザー、第三者の権利または利益を侵害する行為 Acts that infringe the rights or interests of the Operator, other users, or third parties
• 他人になりすます行為 Impersonating another person
• 不正アクセス、過度な負荷をかける行為、脆弱性探索、リバースエンジニアリングその他本サービスの運営を妨害する行為 Unauthorized access, imposing excessive load, probing for vulnerabilities, reverse engineering, or otherwise interfering with the operation of the Service
• 本サービスを通じて有害なプログラム、マルウェア、スパム等を送信または保存する行為 Sending or storing harmful programs, malware, spam, or similar content through the Service
• 本サービスを、違法、有害、差別的、暴力的、性的、詐欺的、または第三者の権利を侵害するコンテンツの保存・配布に利用する行為 Using the Service to store or distribute content that is illegal, harmful, discriminatory, violent, sexual, fraudulent, or that infringes third-party rights
• 運営者の許可なく、本サービスを商用再販売、貸与、共有アカウント提供等に利用する行為 Using the Service for commercial resale, rental, shared-account provision, or similar purposes without the Operator's permission
• その他、運営者が不適切と判断する行為 Any other conduct the Operator deems inappropriate

10. 利用制限・停止 10. Use restrictions and suspension

運営者は、ユーザーが本規約に違反した場合、または本サービスの安全な運営のために必要と判断した場合、事前の通知なく、当該ユーザーによる本サービスの全部または一部の利用を制限、停止、またはアカウントを削除することがあります。 If a user violates these Terms or the Operator determines it necessary for the safe operation of the Service, the Operator may restrict, suspend, or delete the user's use of all or part of the Service without prior notice.

運営者は、当該措置によりユーザーに生じた損害について、法令上責任を負うべき場合を除き、責任を負いません。 The Operator is not liable for damage arising from such measures, except where required by law.

11. サービスの変更・中断・終了 11. Changes, interruption, and termination

運営者は、必要に応じて、本サービスの内容を変更、追加、停止または終了することがあります。 The Operator may modify, add to, suspend, or terminate the Service as needed.

運営者は、可能な範囲で事前に通知するよう努めますが、緊急の保守、障害、セキュリティ対応、外部サービスの停止、法令上の要請等がある場合、事前通知なく本サービスの全部または一部を中断することがあります。 The Operator strives to provide advance notice when possible, but may interrupt all or part of the Service without prior notice for emergency maintenance, incidents, security response, external-service outages, or legal requirements.

12. 知的財産権 12. Intellectual property

本サービスに関するソフトウェア、デザイン、ロゴ、文章、画像その他のコンテンツに関する知的財産権は、運営者または正当な権利者に帰属します。 Intellectual property rights in the Service's software, design, logos, text, images, and other content belong to the Operator or rightful holders.

ユーザーは、本サービスを利用するために必要な範囲を超えて、これらを複製、転載、改変、配布、販売、公開等してはなりません。 Users must not copy, repost, modify, distribute, sell, publish, or otherwise use these beyond what is necessary to use the Service.

ただし、ユーザーが本サービスに保存したユーザーデータに関する権利は、ユーザーまたは正当な権利者に留保されます。 However, rights to User Data saved by users in the Service remain with the user or rightful holder.

13. 保証の否認 13. Disclaimer of warranties

運営者は、本サービスがユーザーの特定の目的に適合すること、期待する機能・正確性・有用性・完全性を有すること、継続的に利用できること、不具合が発生しないこと、またはデータが常に完全に保存されることを保証しません。 The Operator makes no warranty that the Service fits a user's particular purpose, has the expected functionality, accuracy, usefulness, or completeness, will be continuously available, will be free from defects, or that data will always be fully preserved.

ユーザーは、本サービスを自己の責任で利用するものとします。 Users use the Service at their own risk.

14. 免責 14. Limitation of liability

運営者は、本サービスの利用または利用不能によりユーザーに生じた損害について、運営者に故意または重大な過失がある場合を除き、責任を負いません。 The Operator is not liable for damage arising from use or inability to use the Service, except where caused by the Operator's intent or gross negligence.

運営者が責任を負う場合であっても、運営者の責任は、ユーザーに現実に発生した通常かつ直接の損害に限られるものとします。ただし、法令によりこの制限が認められない場合を除きます。 Even where the Operator is liable, liability is limited to ordinary and direct damage actually incurred by the user, except where such limitation is not allowed by law.

15. データのバックアップ 15. Data backup

ユーザーは、重要な情報について、必要に応じて自らバックアップを行うものとします。 Users are expected to back up important information on their own as necessary.

運営者は、本サービスに保存されたデータの保全に努めますが、障害、誤操作、外部サービスの不具合、その他の理由によりデータの消失、破損、利用不能が発生しないことを保証するものではありません。 The Operator takes care to preserve data saved in the Service but does not guarantee that data loss, corruption, or unavailability will not occur due to incidents, mistakes, external-service issues, or other reasons.

16. 規約の変更 16. Changes to these Terms

運営者は、必要に応じて本規約を変更することがあります。 The Operator may modify these Terms as needed.

重要な変更がある場合、運営者は本サービス内での表示、メール、その他適切な方法によりユーザーに通知します。変更後の規約は、本サービス上に掲載された時点または運営者が別途定める時点から効力を生じます。 For material changes, the Operator notifies users by in-service display, email, or other appropriate means. The revised Terms take effect upon publication within the Service or at another time designated by the Operator.

17. 個人情報の取扱い 17. Handling of personal information

本サービスにおける個人情報の取扱いについては、別途定めるプライバシーポリシーに従います。 The handling of personal information in the Service is governed by the separate Privacy Policy.

18. 準拠法・管轄 18. Governing law and jurisdiction

本規約の準拠法は日本法とします。 These Terms are governed by the laws of Japan.

本サービスまたは本規約に関連して運営者とユーザーとの間で紛争が生じた場合、（管轄裁判所：準備中）を第一審の専属的合意管轄裁判所とします。 Any dispute arising between the Operator and a user concerning the Service or these Terms shall be subject to the exclusive jurisdiction of the agreed court of first instance (court: TBD).
