Terms of Service

1. Application

These Terms apply to all matters between the Operator and the user concerning use of the Service.

Any additional rules, guidelines, help notes, or notices the Operator publishes within the Service form part of these Terms.

2. Description of the Service

The Service lets users save, organize, and refer to conversations, notes, tasks, events, records, and other information in conjunction with AI clients, MCP-compatible tools, workspace services, and other external services.

The Service includes an AI execution environment provided by the Operator. Users may also optionally connect supported external AI services.

The Service includes the ability to automatically run AI tasks ("Jobs") on a schedule or in response to external events configured by the user. Use of the Operator-provided AI environment counts against the monthly AI allowance included with the user's plan.

3. Account registration

Users must register an account using the methods specified by the Operator in order to use the Service.

Users are responsible for keeping their registration information accurate and current, and must promptly update any errors or changes.

4. Authentication credentials

Users are responsible for managing their own login credentials, passkeys, devices, and other access means.

Actions performed using a user's credentials may be deemed actions of that user, except where the Operator is at fault through intent or gross negligence.

5. User data

Rights to data saved by users in the Service ("User Data") remain with the user or rightful holder.

The Operator uses User Data only as necessary to provide, maintain, protect, and improve the Service, respond to inquiries, prevent abuse, and comply with law.

The Operator does not transmit User Data to external AI services without the user's instruction or permission.

6. Relationship to external services

Users may use the Service in combination with AI clients, MCP-compatible tools, payment services, workspace services, and other external services.

Use of external services is governed by the terms, privacy policies, and other conditions of those services. The Operator is not responsible for the content, availability, specification changes, suspension, or data handling of external services, except where required by law.

When multiple MCP servers are connected to the Service at the same time, information obtained from one MCP server may be passed to the AI as context while it interacts with another. Each connected MCP server may have its own provider, security posture, stability, and data-handling practices, so users must use their own judgment and take responsibility for deciding what to connect and what information to share across environments. Connecting an MCP server means granting that server's provider access to the user's data held by the Service, so it can be used as context while interacting with that server.

7. Paid plans

The Service may offer free and paid plans.

Fees, payment methods, renewal terms, cancellation procedures, and content for paid plans are displayed in the Service or on a separate pricing page.

Users applying for a paid plan must do so having agreed to the displayed fees and conditions.

Paid plans are billed monthly and automatically renew on the same terms unless the user cancels. If canceled mid-period, the user may continue using the paid plan through the end of that period; the Operator does not prorate or refund fees already paid, except where a refund is required by law.

Payment processing is handled through an external payment provider (Stripe); the Operator does not collect or retain credit card numbers or other card information. That provider's terms and privacy policy apply to the handling of payment information.

8. AI usage and limits

The Operator-provided AI environment has a monthly allowance determined by plan. The following applies.

• AI usage resets at the beginning of each month and does not roll over.
• After the AI allowance is exhausted, Operator-provided AI execution may pause until the monthly reset, a paid-plan change, or an invite reward adds more usage.
• An invite reward is added to the current month's AI allowance when the invited user completes the specified onboarding. The amount and conditions are displayed in the Service and may be changed or suspended to prevent abuse.
• Plans do not impose normal-use limits on the number of automations or runs. The Operator may nevertheless apply sufficiently high safety ceilings to protect the system and prevent abuse.

9. Cancellation and account deletion

Users may cancel a paid plan or delete their account using the methods specified by the Operator.

Before deleting an account, users can retrieve their User Data using the Service's export feature.

After account deletion, the Operator removes or renders User Data unusable within a reasonable period. Logs and backups may nonetheless be retained for a period as needed for legal, accounting, security, abuse-prevention, and incident-response purposes.

To delete an account, users may request deletion by contacting [email protected]. The Operator will delete the account and stored data within a reasonable period.

10. Prohibited conduct

Users must not engage in the following when using the Service.

• Acts that violate laws, regulations, or public order and morals
• Criminal acts or acts related to criminal activity
• Acts that infringe the rights or interests of the Operator, other users, or third parties
• Impersonating another person
• Unauthorized access, imposing excessive load, probing for vulnerabilities, reverse engineering, or otherwise interfering with the operation of the Service
• Sending or storing harmful programs, malware, spam, or similar content through the Service
• Using the Service to store or distribute content that is illegal, harmful, discriminatory, violent, sexual, fraudulent, or that infringes third-party rights
• Using fraudulently obtained payment methods, attempting payments solely to verify a card's validity, abusing chargebacks, or other payment-related fraud
• Abusing the referral program by creating multiple accounts or by other means
• Using jobs or other automated-execution features to harass third parties, send spam, or perform automated actions that violate an external service's terms
• Using the Service for commercial resale, rental, shared-account provision, or similar purposes without the Operator's permission
• Any other conduct the Operator deems inappropriate

11. Use restrictions and suspension

If a user violates these Terms or the Operator determines it necessary for the safe operation of the Service, the Operator may restrict, suspend, or delete the user's use of all or part of the Service without prior notice.

The Operator is not liable for damage arising from such measures, except where required by law.

12. Changes, interruption, and termination

The Operator may modify, add to, suspend, or terminate the Service as needed.

The Operator strives to provide advance notice when possible, but may interrupt all or part of the Service without prior notice for emergency maintenance, incidents, security response, external-service outages, or legal requirements.

13. Intellectual property

Intellectual property rights in the Service's software, design, logos, text, images, and other content belong to the Operator or rightful holders.

Users must not copy, repost, modify, distribute, sell, publish, or otherwise use these beyond what is necessary to use the Service.

However, rights to User Data saved by users in the Service remain with the user or rightful holder.

14. Disclaimer of warranties

The Operator makes no warranty that the Service fits a user's particular purpose, has the expected functionality, accuracy, usefulness, or completeness, will be continuously available, will be free from defects, or that data will always be fully preserved.

Users use the Service at their own risk.

15. Limitation of liability

The Operator is not liable for damage arising from use or inability to use the Service, except where caused by the Operator's intent or gross negligence.

Even where the Operator is liable, liability is limited to ordinary and direct damage actually incurred by the user, except where such limitation is not allowed by law.

16. Data backup

Users are expected to back up important information on their own as necessary.

The Operator takes care to preserve data saved in the Service but does not guarantee that data loss, corruption, or unavailability will not occur due to incidents, mistakes, external-service issues, or other reasons.

17. Changes to these Terms

The Operator may modify these Terms as needed.

For material changes, the Operator notifies users by in-service display, email, or other appropriate means. The revised Terms take effect upon publication within the Service or at another time designated by the Operator.

18. Handling of personal information

The handling of personal information in the Service is governed by the separate Privacy Policy.

19. Language

The authoritative text of these Terms is the Japanese version. Translations into English or any other language are provided for reference, for the user's convenience.

In the event of any discrepancy or conflict between a translation and the Japanese version, the Japanese version prevails.

20. Governing law and jurisdiction

These Terms are governed by the laws of Japan.

Any dispute arising between the Operator and a user concerning the Service or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the agreed court of first instance.
